These Terms & Conditions ("Terms") govern access to and use of KhataSync POS (the "Service"), a point-of-sale platform for restaurants, cafés and retail stores provided by MetaLinx Innovations ("we", "us", "our"). By creating an account, booking a demo, or using the Service in any way, you ("you", "your", the "Customer") agree to be bound by these Terms.
1. The Service
KhataSync POS provides checkout and order management, dine-in table tracking, kitchen ticketing, staff shifts and role-based permissions, customer and store-credit records, deals and promotions, reporting, and database backup/restore, for one or more branches under one account.
2. Accounts & Subscriptions
Access to KhataSync POS is provided on a subscription basis at a custom rate agreed with you individually, typically during your onboarding demo. A new account may begin on a trial period at our discretion, during which no payment is due. At the end of the trial, continued access requires an active paid subscription.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including actions taken by staff accounts you create.
3. Payment Terms
Invoices are payable by bank transfer to the account details provided on the invoice. Once payment is made, you must share the payment receipt with us so it can be manually verified before your account is activated or renewed.
If a billing invoice is not paid by its due date, we reserve the right to suspend or close your account until payment is received. Suspension may result in loss of access to the Service, including the POS terminal and your dashboard, until the outstanding balance is cleared and verified.
4. Your Data
You retain ownership of the business data you enter into KhataSync POS — products, orders, customers, staff records and reports. We access your data only as necessary to operate, maintain and support the Service, verify payments, and enforce these Terms.
5. Backups & Data Loss
The Service includes a Backup module that lets you create and restore database backups on demand. Regularly creating your own backups is your responsibility — while we take reasonable measures to protect the platform, we are not liable for data loss resulting from your failure to maintain backups, from hardware or connectivity issues outside our control, or from actions taken through your own account.
6. Account Inactivity & Data Deletion
If an account remains inactive — meaning no login or usage activity — for a continuous period of one (1) year, we reserve the right to permanently delete that account and all associated data. Once deleted under this policy, no backup or copy of that account's data will be available or recoverable. It is your responsibility to export or otherwise retain any records you may need before an extended period of inactivity.
7. Acceptable Use
You agree not to misuse the Service — including attempting to gain unauthorized access to another company's data, disrupting the platform's operation, or using the Service for any unlawful purpose.
8. Limitation of Liability
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential damages arising from your use of, or inability to use, the Service, including lost sales during downtime or connectivity issues.
9. Changes to These Terms
We may update or amend these Terms, our Privacy Policy, our pricing or our billing practices at any time, at our sole discretion, as needed to protect our business, our systems and our other customers, or to comply with security, legal or regulatory requirements. Material changes will be reflected on this page along with an updated "Last updated" date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
